Why convert JPG to PNG?

PNG (PNG) is lossless — you can re-save it through editors without quality stacking up losses, which makes it the right input for editing and retouching work.

Some upload sites and document editors only accept PNG, and it's also the format to be in if you'll work with transparency later.

What happens to quality and size?

PNG is lossless, so the conversion itself loses nothing. It can't restore what JPG compression already discarded, though — quality stays at your original's level.
